Terms of Use

Preface

These Terms of Use (“Terms”) apply mandatorily and prevail over any individual or collective agreement signed by STUDIOMAP and/or SOUND ACADEMY FR / SOUND ACADEMY US, regardless of its nature or date. In the event of any discrepancy between a specific agreement and these Terms, these Terms shall prevail and apply automatically. In addition, any commercial act, transaction, registration, service purchase, or contractual relationship entered into with STUDIOMAP and/or SOUND ACADEMY FR / SOUND ACADEMY US implies full, immediate, and unconditional acceptance of these Terms.

1. Introduction

Welcome to Sound Academy. These Terms (the “Conditions”) set out the legal framework governing your access to and use of our services, website, and platform (collectively, the “Services”).

By accessing or using our Services in any manner—particularly by browsing our website, creating an account or a training and financing file, purchasing courses, or participating in training sessions—you acknowledge that you have read, understood, and agreed to be bound by these Terms.

As part of our continuous service quality improvement, phone calls with our teams may be recorded. By interacting with Sound Academy, you expressly accept this practice, implemented in compliance with CNIL requirements and applicable personal data protection regulations.

If you do not accept any part of these Terms, you must refrain from using our Services. Your continued use of Sound Academy constitutes acceptance of these Terms and any modifications or updates that may be made over time.

2. Definitions

For the purposes of these Terms, the following definitions apply:

  • “Company” means Sound Academy, including its subsidiaries, parent companies, affiliates, and any related entities owning, operating, or managing the platform and associated services.
  • “User” means any individual or legal entity accessing, interacting with, or using any part of the Company’s Services, whether students, instructors, contributors, or visitors to the platform.
  • “Services” means all educational content, training programs, materials, tools, features, and resources made available by Sound Academy, whether via its website, mobile applications, online courses, or any other means, including free and paid offerings.

3. Eligibility Requirements

To access and use Sound Academy Services, you must meet the following requirements:

3.1 Age Requirement

You must be at least 18 years old to create an account, purchase courses, or use our Services independently.

If you are under 18, you may only use the Services with the explicit consent and supervision of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.

Sound Academy reserves the right to request proof of age or parental consent at any time and may suspend or terminate access for users who do not meet this requirement.

3.2 Legal Capacity

You represent that you have the legal capacity to enter into a binding contract under the laws of your jurisdiction.

If you have previously been suspended or banned from using our Services, you may not create a new account or access our platform without explicit written authorization from Sound Academy.

3.3 Use by Companies and Organizations

If you access or use the Services on behalf of a company, organization, educational institution, or other entity, you warrant that:

  • You have legal authority to bind that entity to these Terms;
  • All actions taken on behalf of the entity comply with these Terms and applicable laws;
  • The entity assumes full responsibility and obligations related to the use of the Services under its account.

If you do not have such authority, you must not use the Services on behalf of the entity.

3.4 Compliance with Laws

You agree that your use of the Services will comply with all applicable laws, regulations, and industry standards, whether local, national, or international.

You must not use our Services where prohibited by law in your jurisdiction or where such use would expose Sound Academy to legal or regulatory restrictions.

3.5 Use Restrictions

Sound Academy reserves the right to refuse, suspend, or terminate access to its Services if:

  • Information provided during registration is false, misleading, or incomplete;
  • The User has previously violated these Terms or engaged in activities endangering the platform, its users, or its integrity;
  • The User does not meet the age, legal, or compliance requirements above.

By continuing to use our Services, you confirm that you meet all eligibility requirements. If you do not, you must immediately stop using the platform.

4. Registration and Account Security

4.1 Accurate and Complete Information

To access certain features, you may be required to create an account and provide accurate, current, and complete information during registration.

You agree to promptly update your account information to keep it accurate and complete at all times.

Providing false, misleading, or incomplete information may result in suspension or termination of your account.

4.2 Credentials and Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including username and password.

You must not share, transfer, or disclose your credentials to any third party.

You are fully responsible for all activity occurring under your account, whether authorized by you or not.

4.3 Unauthorized Access and Account Protection

You agree to notify Sound Academy immediately of any unauthorized use, breach, or suspected compromise of your account.

Sound Academy disclaims any liability for loss or damage resulting from your failure to secure your account.

You acknowledge that the Company may implement security measures (e.g., multi-factor authentication, account verification steps, usage monitoring) to protect account integrity.

4.4 Account Suspension or Termination

The Company reserves the right to suspend, restrict, or terminate your account without notice if:

  • You provide false, misleading, or incomplete registration information;
  • Your account is used for fraudulent, abusive, or illegal purposes;
  • You violate any provision of these Terms or any applicable law;
  • Your actions compromise the security, stability, or integrity of the platform or its users.

Sound Academy may, at its discretion, reinstate a suspended or terminated account upon provision of sufficient evidence of compliance with these Terms.

5. Use of the Services

5.1 Authorized Use

Sound Academy Services are intended for personal, non-commercial use.

Users may access and use educational content, tools, and resources solely for learning and personal development.

Any commercial use (resale, sublicensing, redistribution of content, etc.) is strictly prohibited unless expressly authorized in writing by Sound Academy.

5.2 Use Restrictions

By using our Services, you agree not to:

  • Copy, reproduce, download, modify, adapt, distribute, publicly display, or transmit any part of the Services without prior written authorization;
  • Reverse engineer, decompile, or attempt to extract the source code of any proprietary software, system, or technology used on the platform;
  • Bypass, disable, or interfere with security devices, content protection mechanisms, or any digital rights management (DRM) system;
  • Share, sell, or distribute course materials, videos, guides, or any proprietary information obtained via the platform;
  • Use bots, automated scripts, or unauthorized tools to extract, access, or manipulate platform content, data, or features;
  • Engage in any activity disrupting, overloading, or damaging platform operation, including cyberattacks, spam, or malware distribution.

5.3 Prohibited Conduct and Misuse

Sound Academy strictly prohibits:

  • Fraudulent use: impersonating another user, providing false information, or engaging in deceptive practices;
  • Harassment or abuse: posting or sharing defamatory, offensive, discriminatory content, or content infringing others’ rights;
  • Unauthorized commercial use: promoting, advertising, or conducting business activities without Sound Academy’s prior consent;
  • Intellectual property infringement: unauthorized use of Sound Academy trademarks, logos, or copyrighted content.

5.4 Consequences of Misuse

Any breach of these Terms may result in:

  • Immediate suspension or termination of your account without notice;
  • Legal action for copyright infringement, fraud, or other illegal activities;
  • Financial liability for damages caused by unauthorized or abusive use.

Sound Academy reserves the right to monitor and investigate misuse and take appropriate action, including reporting to competent authorities if necessary.

6. Intellectual Property

6.1 Ownership of Content

All content made available through Sound Academy, including but not limited to:

  • Courses, educational materials, and curricula,
  • Videos, audio recordings, and multimedia presentations,
  • Texts, articles, blog posts, and teaching guides,
  • Logos, branding elements, and graphics,
  • Platform software, tools, algorithms, and features,

is either owned by Sound Academy or licensed to the Company by third-party content providers. Such content is protected by copyright, trademark, and other applicable laws.

6.2 Limited License to Users

Sound Academy grants you a non-exclusive, non-transferable, revocable, limited license to access and use content solely for personal, non-commercial educational purposes.

This license does not allow you to:

  • Copy, reproduce, distribute, or publicly display content without explicit written consent;
  • Modify, adapt, or create derivative works;
  • Sell, rent, sublicense, or commercially exploit any part of the platform or materials;
  • Remove, alter, or conceal any copyright notice, watermark, or mark displayed on the platform.

Any unauthorized use constitutes a breach of these Terms and may lead to legal action.

6.3 Trademarks and Branding

“Sound Academy,” its logos, slogans, course names, and visual identity are proprietary assets of the Company.

Users may not use these marks in a way that could cause confusion, imply endorsement, or falsely suggest affiliation.

Unauthorized use for commercial, promotional, or competitive purposes is strictly prohibited.

6.4 Third-Party Intellectual Property

Some platform content may be provided under license agreements with third parties. Users must comply with additional terms specified by those licensors.

Sound Academy disclaims liability for users’ misuse of third-party content.

6.5 Enforcement

Sound Academy actively enforces its IP rights and may:

  • Remove or restrict access to content used in violation of these Terms;
  • Suspend or terminate accounts involved in infringement;
  • Take legal action against any user or entity violating its rights.

If you believe platform content infringes your copyright or trademark rights, contact contact@sound-academy.co with relevant details.

7. Payment and Refund Policy

7.1 Payment of Fees

Certain premium services, courses, or subscriptions require payment. All applicable fees and terms are clearly indicated at the time of purchase.

Payments must be made via approved methods (credit/debit cards, digital wallets, or other options offered). By making a purchase, you authorize Sound Academy to charge the specified amount to your selected payment method.

7.2 Pricing and Changes

Sound Academy may adjust pricing for services, courses, or subscriptions at any time, with or without notice.

Price changes do not affect services already purchased, but renewals or new purchases are subject to updated pricing.

In case of a pricing error, Sound Academy may cancel the affected order and issue a refund if necessary.

7.3 Withdrawal right, cancellation, rescheduling, and refund

7.3.1 Right of withdrawal (distance sales / off-premises)

When the Client books an in-person session (workshop, masterclass, internship) whose date and/or execution period is determined at the time of ordering, the Client is informed that the right of withdrawal does not apply.

Pursuant to Directive 2011/83/EU (Article 16(l)) and its transposition into French law (Consumer Code Article L221-28), the right of withdrawal is excluded for services related to leisure activities provided on a specific date or within a specific period.

Therefore, any booking of a dated session is firm and final and non-refundable, subject to cases provided under “Cancellation by the Service Provider.”

7.3.2 Client cancellation / no-show

If the Client cancels or does not attend, no refund will be issued.

As a commercial gesture and subject to availability, the Provider may offer, according to conditions indicated at purchase or below:

  • rescheduling to another session,
  • a credit note valid for [3 months],
  • or transferring the spot to a third party (see §3).

The Provider may refuse late rescheduling requests (notably less than [48/72] hours before the session) when organization does not allow it.

7.3.3 Rescheduling and transfer of booking

Rescheduling: must be requested in writing (email) no later than 14 days before the session date. Rescheduling is allowed once, subject to availability on an equivalent session within a maximum of 3 months.

Transfer: the Client may transfer their spot to another person by informing the Provider in writing no later than 48 hours before the session, providing the beneficiary’s identity and contact details. The Client remains responsible for full payment until the transfer is validated by the Provider.

Requests must be sent to suivi.pedagogique@sound-academy.co with order details and the reason.

7.4 Cancellation Policy

Any cancellation results in cancellation fees equal to 100% of the total training price, regardless of the cancellation date. These fees are deducted from amounts already paid or billed if none were paid.

Cancellations within 31 days before the start: no cancellation is accepted within the thirty-one (31) calendar days prior to the training start date. Sound Academy may recover the full amount due, including via bailiffs, debt collection agencies, and enforcement procedures (bank account, salary, assets, etc.).

No valid refund in the following cases:

  • Insufficient funds to complete payment.
  • Moving to another city due to necessity (no center/trainer).
  • Moving to another city within a radius under 100km.
  • Dissatisfaction with training content or quality.
  • Session schedule adjustments by the training organization (the candidate accepts that schedule adjustments may be necessary and agrees not to request a refund on this basis).

Acknowledgment of program adjustments: the trainee acknowledges that the program may vary depending on trainers and studios, and that differences between what was presented by sales and the actual content cannot be considered a breach or a legitimate reason for a refund. No such difference may be considered a breach or justify a refund or financial claim.

Cancellation/rescheduling/modification by the organization: the training organization may cancel, reschedule, or modify a session (e.g., insufficient enrollment, trainer unavailability, or any other reason preventing proper delivery) without this constituting a contractual breach or giving rise to compensation.

If the organization cancels or reschedules, the Participant is informed as soon as possible and offered:

  • rescheduling to a later session of the same module; or
  • where applicable, reimbursement of previously incurred travel expenses, strictly within contractual limits and upon presentation of receipts.

No other damages, indemnities, or compensation (including moral, professional, or financial loss) may be claimed if the organization offers compliant rescheduling or the provided reimbursement.

The Participant expressly acknowledges that any travel, bookings, or expenses incurred at their own initiative outside the defined framework are at their sole responsibility.

Express waiver of refund once training begins: the Student acknowledges being fully informed that participation in any training session (live course, online module, workshop, exercise, or platform access) constitutes commencement of performance.

Accordingly, the Student acknowledges and expressly agrees that if they:

  • enter training during the withdrawal period, or
  • access the platform, or
  • attend even a single session or module,

they immediately, expressly, and definitively waive their withdrawal right under French Consumer Code Article L221-28. This waiver implies:

  • no refund may be requested even if the legal withdrawal period has not expired;
  • the full training price remains due;
  • any cancellation/refund request after performance begins is inadmissible.

Exceptional refund conditions

A refund may be granted only in the following cases:

  1. Legitimate reason: exceptional circumstance preventing participation (notably serious illness or death of a relative). Proof must be provided.
  • For illness: a doctor or hospital director must send an official email to suivi.pedagogique@gmail.com from a verifiable address certifying identity and profession.
  • For death: the candidate must provide a death certificate by email or in person.
  1. Inability of the organization to deliver training within 12 months following signature of the contract and quote.
  2. Force majeure: unforeseeable, unavoidable event beyond the candidate’s or organization’s control preventing performance (e.g., natural disasters, social conflicts, government restrictions).

7.5 Non-Refundable Items

The following purchases are non-refundable unless required by law:

  • Digital content downloaded or accessed (e.g., ebooks, software, specific course materials);
  • Live sessions or workshops already completed;
  • Subscription fees after the first billing cycle.

7.6 Billing and Subscription Cancellation

Subscriptions are billed automatically according to the selected billing cycle.

You may cancel at any time via account settings, but no refund is issued for unused portions of the subscription period.

Cancellation stops future billing but does not entitle you to a refund of past payments.

7.7 Payment Disputes and Conflicts

Initiating a chargeback with your bank/payment provider without first contacting Sound Academy may result in account suspension.

If a dispute is deemed fraudulent or abusive, Sound Academy may take legal action to recover losses.

Sound Academy may update this payment/refund/cancellation policy at any time. By purchasing a service, you agree to comply with the most recent version.

8. Privacy Policy

8.1 Overview

Sound Academy is committed to protecting your privacy and securing your personal data. Our Privacy Policy describes how we collect, use, store, and protect your information.

By using our Services, you acknowledge and consent to the collection, processing, and storage of your personal data as described in the Privacy Policy.

8.2 Data Collection

We may collect:

  • Personal information: name, email, phone number, billing information, and other data required for registration/purchases;
  • Usage data: browsing information, course registrations, content preferences, navigation data, technical device characteristics;
  • Payment information: transactions are processed by trusted third-party providers; Sound Academy does not store bank/card data;
  • Cookies and tracking: cookies, web beacons, analytics, and similar technologies;
  • Phone call recordings: calls with our team may be recorded as described above, in compliance with regulations and CNIL recommendations.

8.3 Use of Your Data

We process personal data to:

  • Provide, maintain, and improve Services;
  • Manage user accounts, process transactions, deliver course content;
  • Personalize user experience and recommend relevant materials;
  • Communicate updates, promotions, and customer support;
  • Meet legal obligations and implement security measures to prevent fraud/abuse.

8.4 Data Protection and Security

Sound Academy uses encryption, access controls, and secure storage systems.

We do not sell, rent, or share your personal data with third parties for marketing without your explicit consent.

Access to user data is strictly limited to authorized personnel.

8.5 User Rights and Choices

Depending on your jurisdiction, you may have the right to:

  • Access, update, or delete your personal data;
  • Withdraw consent;
  • Unsubscribe from marketing communications;
  • Request a copy of stored information under applicable laws (e.g., GDPR, CCPA).

8.6 Third-Party Services

We may integrate third-party platforms (payment providers, analytics services) with their own privacy policies.

Sound Academy is not responsible for those third parties’ data practices, but ensures they comply with applicable data protection regulations.

8.7 Updates

The Privacy Policy may be updated periodically. Users will be informed of significant changes by email or platform announcements. Continued use confirms that you have read, understood, and accepted the Privacy Policy.

9. Limitation of Liability

9.1 General Disclaimer

To the maximum extent permitted by law, Sound Academy and its subsidiaries, directors, employees, instructors, and partners are not liable for any direct or indirect, incidental, special, punitive, or consequential damages, including:

  • Loss of data, revenue, profits, or business opportunities;
  • Personal injury or property damage from access/use;
  • Errors or omissions in course content or materials;
  • Unauthorized access, hacking, or security breaches affecting personal/financial data.

9.2 Educational Use Only

Content is for educational/informational purposes only and must not be construed as professional legal, financial, technical, or other advice. Users are responsible for applying knowledge acquired, and Sound Academy guarantees no specific results.

9.3 Service Interruptions and Technical Issues

Sound Academy does not guarantee continuous, error-free, or always-secure access.

No liability for interruptions, data loss, or malfunctions caused by maintenance, updates, unforeseen technical issues, ISP failures, external cyberattacks, or force majeure (natural disasters, government actions, strikes).

9.4 Third-Party Content and External Links

The platform may include third-party content/links/integrations (payment gateways, external tools, social media). Sound Academy does not endorse or control them and is not liable for damages resulting from their use.

9.5 Liability Cap

If Sound Academy is held liable under applicable laws, liability is limited to the amount paid by the user for the relevant service during the past 12 months.

9.6 Jurisdictional Limitations

Some jurisdictions do not allow exclusions/limitations for indirect or consequential damages; in such cases, liability is limited as permitted by applicable law.

Users acknowledge responsibility for compliance with local laws and expressly waive claims beyond the limitations stated, recognizing use is at their own risk.

10. Indemnification

10.1 User Responsibility

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, instructors, partners, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • Your use/misuse of Services, including content you upload/share/interact with;
  • Your violation of these Terms, including unauthorized access/distribution/modification;
  • Your violation of third-party rights (IP, privacy, contractual obligations);
  • Fraudulent, illegal, or prohibited activity;
  • Disputes/conflicts between you and another user/instructor/third party arising from interactions via Services.

10.2 Defense and Cooperation

Sound Academy may assume exclusive defense of any indemnified matter at your expense. You agree to fully cooperate and provide documents/testimony/evidence as needed.

10.3 No Settlement Without Consent

You may not settle any claim without Sound Academy’s prior written consent if it:

  • Imposes liability/obligations on Sound Academy; or
  • Affects the Company’s rights or reputation.

Sound Academy may approve, reject, or negotiate settlements.

10.4 Survival

Indemnification obligations survive termination, cancellation, expiration of your account, and continued use. You remain responsible for claims/liabilities incurred during your usage period.

11. Termination

11.1 Company’s Right to Terminate

Sound Academy may suspend, restrict, or terminate your access at any time without notice if you:

  • Violate any provision of these Terms;
  • Engage in fraudulent, illegal, or abusive activities;
  • Provide false/misleading registration or usage information;
  • Infringe IP rights, misuse materials, or distribute unauthorized content;
  • Behave harmfully toward users/instructors or damage Sound Academy’s reputation;
  • Attempt to hack, reverse engineer, disrupt, or interfere with operations/security.

11.2 Termination by the User

You may close your account at any time via account settings or by contacting contact@sound-academy.co.

Account termination does not entitle you to a refund unless otherwise stated in the refund policy.

11.3 Effects of Termination

After termination, you may lose access to purchased courses, content, and profile data. Any obligations incurred prior to termination remain.

Sound Academy is not liable for data loss due to termination, though you may request export or deletion per law.

11.4 Account Reinstatement

If suspended/terminated for non-compliance, you may request review at contact@sound-academy.co. Sound Academy may approve or deny at its discretion.

11.5 Survival of Certain Provisions

Provisions relating to IP, indemnification, limitation of liability, and dispute resolution survive termination and remain legally binding.

12. Governing Law

These Terms are governed and interpreted under the laws applicable in the jurisdiction where you access/use the Services:

  • United States: laws of the State of Delaware (without regard to conflict of laws principles)
  • United Kingdom: laws of England and Wales
  • Canada: laws of the Province of Ontario

12.1 Legal Compliance

You agree to comply with all applicable local, national, and international laws when using Sound Academy Services.

If any provision is unenforceable under your jurisdiction’s laws, the remaining provisions remain valid.

12.2 Dispute Resolution

Any dispute arising from these Terms will be decided by the courts of the competent jurisdiction in the relevant governing region.

Sound Academy may seek injunctive relief or bring legal proceedings in any jurisdiction where infringement of its rights is identified.

By using Sound Academy, you accept that these Terms are legally binding and disputes will be handled under the rules of the applicable jurisdiction.

13. Changes to the Terms

13.1 Right to Modify

Sound Academy may update, modify, or amend these Terms at any time at its sole discretion, including to:

  • Address changes in laws/regulations;
  • Introduce new features/services/policies;
  • Meet operational, security, or commercial needs.

13.2 Notification

For significant changes, users will be informed via:

  • An announcement on the website/platform;
  • An updated “Last updated” date at the top of the document.

Users are responsible for reviewing updates. Continued use after changes take effect constitutes acceptance.

13.3 User Options

If you do not accept the modified Terms, you must stop using the Services and close your account.

Where required by law, users may be asked to reconfirm acceptance before continuing.

14. Use of Students’ Name, Image, and Identity

By enrolling in a course, training, or program offered by SOUND ACADEMY BY.STUDIOMAP (the “Company”), you grant the Company the right to use your name, image, photograph, video recordings, and likeness for promotional, educational, and commercial purposes.

This includes, without limitation:

  • Displaying your name and image on the Company’s website, social media, promotional materials, and case studies;
  • Using photos/videos taken during training sessions, workshops, or events for marketing, educational, or testimonial purposes;
  • Highlighting testimonials, reviews, or success stories mentioning your name and experience.

The Company guarantees such use will be in good faith, in accordance with professional industry standards, and solely to promote and improve its services.

To revoke consent, you must submit a written request to contact@sound-academy.co. The Company will review within a reasonable time; however, revocation does not apply to materials already published or broadcast before the request.

For students under 18, a legal guardian’s consent is required before any use of name/image/likeness.
